These Terms of Service ("Terms") govern your purchase and use of TermPoint, developed by Academic-Solutions ("we," "us," or "our"). By purchasing a license or using the software during a trial period, you agree to these Terms.
Use of TermPoint is governed by the End User License Agreement available at termpoint.ca/eula. You accept the EULA during installation. In the event of any conflict between these Terms and the EULA, the EULA governs with respect to software use; these Terms govern with respect to purchase, subscription, and payment.
TermPoint includes a 30-day free trial beginning at installation. No payment information is required to begin a trial. At the end of the trial period, continued use requires purchase of a license. Without the license you will be able to view your data, but not edit it.
Licensed use of TermPoint is available as an annual subscription at the then-current price (currently CAD $39.95/year). All payments are processed by Paddle.com Market Limited ("Paddle"), who acts as the merchant of record for all transactions. Your purchase is subject to Paddle's terms of service and buyer policies in addition to these Terms.
Subscriptions renew automatically on an annual basis. You may cancel at any time through your Paddle customer portal. Cancellation takes effect at the end of the current billing period. Upon expiration of a subscription, the software will operate only in read-only mode: you will not be able to edit your data.
Refund requests are handled in accordance with our refund policy. Because Paddle is the merchant of record, refunds are processed through Paddle.
An active subscription entitles you to all software updates released during the subscription period.
TermPoint stores all data locally on your computer. The software does not transmit schedule data to any external server. No account creation is required. Telemetry data on application functioning is collected via BugSnag, but this contains no user data and cannot be used to identify the user. To the maximum extent permitted by applicable law, Academic-Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of or inability to use TermPoint. Our aggregate liability for any claim arising under these Terms shall not exceed the total amount paid by you in the twelve months preceding the claim.
We may update these Terms from time to time. The "Last updated" date at the top will reflect the most recent revision. Continued use of the software after changes constitutes acceptance of the updated Terms.
These Terms are governed by the laws of your jurisdiction, without regard to conflict-of-law principles.
